Dear Daniel
Kestrel made 9 changes. Six are inside the playbook and I have accepted them: the 2-year term, the return-or-destroy election, notice by email, the Delaware venue, the definition of Representatives and the no-licence sentence. Two are outside it and I have pushed back with the standard language and a comment for their counsel: the residuals clause at 6, which the playbook does not permit, and the 5-year survival for trade secrets at 8.2, restored to the playbook's indefinite survival. One needs Asha: a mutual non-solicit at 9, which the playbook does not allow and is not a term for a non-disclosure agreement. I have left it unmarked with a note.
The redline is ready to go back to Kestrel once Asha has answered on the non-solicit. Nothing has been sent to them.
Leela
